Eligibility and Account Registration

• You must be at least 18 years old
• You agree to provide accurate and complete information
• You are responsible for maintaining account confidentiality

Scope of Our Service

Nugget Learning provides an online marketplace where Professional Coaches can list, sell, and share educational materials (including but not limited to video lectures, PDFs, and notes), and Students can purchase and access them.

• Intermediary Role: We act solely as an intermediary platform. When an Educator purchases material, the contract for the sale is formed directly between the Educator and the Professional Coach.
• No Endorsement: We do not pre-screen all content. The presence of material on our platform does not constitute an endorsement of its accuracy or quality.

Professional Coach Obligations & AI Content

Professional Coaches may create content manually or with the assistance of Artificial Intelligence (AI) tools (e.g., Google Gemini, ChatGPT).

• AI Tool Responsibility: If a Professional Coach uses AI tools, they acknowledge that they are interacting with a third-party service. Nugget Learning has no control over, and assumes no responsibility for, the data an Professional Coach uploads to an AI tool or the accuracy of the output generated by such tools.
• Compliance: Professional Coaches must ensure that any AI-generated content complies with the Terms of Service of the AI provider used.
• Accuracy: Professional Coaches are responsible for reviewing and verifying the accuracy of AI-generated materials before listing them for sale.

Intellectual Property Rights

• Professional Coach Content: Professional Coaches retain ownership of the materials they upload. By uploading content, the Professional Coach grants Nugget Learning a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content to authorized Educators.
• Copyright Warranty: Professional Coaches represent and warrant that their content (whether AI-assisted or manual) does not infringe upon the intellectual property rights, privacy rights, or any other legal rights of any third party.
• Platform Property: The "look and feel," software, logos, and infrastructure of Nugget Learning are our exclusive property.

Consumer Rights

Under the Consumer Rights Act 2015, Services must be provided with reasonable care and skill. If digital services are faulty, users may be entitled to repair or refund.

Pricing and Payments

• Listing Prices: Professional Coaches set the price for their materials.
• Fees: Nugget Learning charges a service fee (commission) on every successful transaction. This fee will be deducted from the payout to the Professional Coach.
• Refunds: Refund policies are determined by Nugget Learning's Standard Refund Policy, unless otherwise stated on the specific course page.

Use of the Platform

Users (Professional Coaches and Educators) agree NOT to:

• Use the platform for any illegal purpose.
• Upload "deepfake" content or materials that impersonate other individuals without consent.
• Reverse-engineer or attempt to extract the source code of the platform.
• Use automated bots to scrape content or data from the platform.

Limitation of Liability

To the maximum extent permitted by law:

• As-Is Basis: The platform is provided "as is" and "as available."
• Content Errors: Nugget Learning is not liable for errors, omissions, or inaccuracies in the educational materials provided by Professional Coaches.
• AI Misuse: We are not liable for any data breaches or privacy violations occurring within third-party AI tools used by Professional Coaches.
• Indirect Damages: Nugget Learning shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service.

Service Availability

We do not guarantee uninterrupted access to the platform.

We may suspend services for maintenance, security updates and system improvements

Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential losses
• We are not responsible for academic or professional outcomes
• We are not liable for data loss beyond our reasonable control

Nothing excludes liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation

Indemnification

You agree to indemnify and hold Nugget Learning harmless from any claims, losses, or legal fees resulting from your breach of these Terms, your use of third-party AI tools, or any content you upload that violates the rights of another party.

Account Termination

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or uploads content that we deem harmful to the community, without prior notice.

Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence where applicable.

Changes to Terms

We may update these Terms at any time. Your continued use of the platform after changes are posted signifies your acceptance of the revised Terms.
